By accessing or using the Bedaki platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you ("User, " "you, " or "your") and Bedaki SAS ("Bedaki, " "we, " "us, " or "our"), a company registered in Casablanca, Morocco. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
Bedaki is a multi-tenant, cloud-based AI chatbot platform that enables businesses to create, configure, deploy, and manage intelligent conversational agents. The Service includes, but is not limited to:
Bedaki reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes to the Service.
To access the Service, you must create an account by providing accurate, current, and complete information during the registration process. You agree to update your account information promptly to keep it accurate and complete at all times.
You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys associated with your account. You agree to notify Bedaki immediately of any unauthorized use of your account or any other breach of security. Bedaki shall not be liable for any loss or damage arising from your failure to protect your account credentials.
If you are the administrator of an organization account, you are responsible for all activities that occur under your organization's account, including the actions of any users you invite or grant access to. You agree to ensure that all users within your organization comply with these Terms.
Bedaki offers multiple subscription plans designed to meet the needs of businesses at different stages of growth. Each plan includes specific features, usage limits, and support levels as described on our pricing page. Free trial periods may be offered at Bedaki's discretion and are subject to separate terms.
Subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select at the time of purchase. Annual subscriptions are billed as a single payment at the beginning of each billing period. All fees are quoted and payable in the currency specified at the time of purchase.
You may upgrade your subscription plan at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of your current billing period. Downgrades take effect at the beginning of the next billing period. When downgrading, you may lose access to features or capacity available in your current plan. Bedaki is not responsible for any data loss resulting from a plan downgrade.
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for paying all taxes associated with your use of the Service. If Bedaki is required to collect or remit taxes on your behalf, such taxes will be added to your invoice. Failure to pay fees when due may result in suspension or termination of your account.
Payments are non-refundable except as expressly set forth in these Terms or as required by applicable law. If you believe you have been billed in error, you must contact us within thirty (30) days of the charge to request a review.
Card payments are processed by Vantage Payment Systems SA ("Payzone"), a payment institution licensed by Bank Al-Maghrib (Wali decision dated 9 February 2024) located at 200 Boulevard Ghandi, Casablanca. By submitting payment, you authorize Payzone to debit your card for the subscription amount and any subsequent renewals. Card data (PAN, expiry, CVV) is collected and processed exclusively by Payzone on its secure payment page; Bedaki never receives, stores, or transmits sensitive cardholder data. All prices displayed on the pricing page are all-inclusive for the listed cycle. In accordance with Payzone Article 4.3, Bedaki does not apply any surcharge or additional fee on the price of the Service to compensate for card payment processing fees. Visa and Mastercard are accepted on equal terms with other accepted means of payment.
If you wish to dispute a card transaction, you must do so within three (3) months from the transaction date, as required by Payzone Article 5.5. Disputes filed after that period cannot be processed through the card schemes. We encourage you to contact us at support@bedaki.com first so we can attempt to resolve the issue amicably before initiating a chargeback. We retain electronic records of each transaction (reference, amount, masked card brand, status, associated invoice) for twenty-four (24) months in line with Payzone Article 5.7 and Moroccan accounting and VAT regulations, and will produce these records on request to defend legitimate transactions.
Card payment functionality depends on the continuous availability of Payzone, Visa, Mastercard, the acquiring bank, and the Moroccan interbank Switch. Bedaki is not responsible for failed, delayed, or rejected transactions caused by these third parties or by your bank (insufficient funds, expired card, 3-D Secure failure, fraud filters, country blocks, network outage). Where a renewal payment fails for reasons attributable to your card or bank, the suspension and grace-period rules in section 8 (SLA) and the Privacy Policy apply.
You may use the Service solely for lawful business purposes in accordance with these Terms. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service during the term of your subscription.
You agree not to use the Service to:
Bedaki reserves the right to investigate and take appropriate action against any violation of this section, including immediate suspension or termination of the offending account, removal of violating content, and reporting the activity to relevant law enforcement authorities.
The Service, including all software, algorithms, user interfaces, designs, documentation, trademarks, and other intellectual property associated with Bedaki, is and shall remain the exclusive property of Bedaki SAS and its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as set forth herein.
You retain all rights, title, and interest in and to any content, data, or materials that you upload, submit, or transmit through the Service ("User Content"). By using the Service, you grant Bedaki a limited, non-exclusive, worldwide license to use, process, and store your User Content solely to the extent necessary to provide and improve the Service. This license terminates when you delete your User Content or close your account, subject to any applicable data retention requirements.
If you provide Bedaki with any suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), you acknowledge that Bedaki may freely use, incorporate, and commercialize such Feedback without any obligation or compensation to you.
Bedaki processes personal data as a data controller (responsable de traitement) in compliance with Law No. 09-08 of February 18, 2009, on the Protection of Individuals with Regard to the Processing of Personal Data, and its implementing Decree No. 2-09-165. Our processing activities are declared to the Commission Nationale de contrôle de la Protection des Données à caractère personnel (CNDP). By creating an account, you confirm that you have read, understood, and provided your explicit consent to our Privacy Policy.
As a B2B customer, you are also a data controller in your own right with respect to the personal data of your end users processed through our Service. You represent and warrant that: (i) you have obtained all necessary legal bases (including CNDP declarations where required) for processing your end users' data; (ii) your use of the Service for data processing complies with Law 09-08 and all other applicable regulations; and (iii) you will not upload or process any special categories of sensitive personal data (health, biometric, religious, political data) without separate CNDP authorization and Bedaki's prior written consent.
Bedaki uses OpenAI as a sub-processor for natural language processing, and Meta's APIs for WhatsApp Business, Messenger, and Instagram channel integrations. These providers operate infrastructure in the United States and the European Economic Area. By using the Service, you authorize these sub-processing arrangements. Bedaki has obtained CNDP authorization for these international data transfers as required by Article 43 of Law 09-08.
Specific retention windows apply to Meta channel data: message bodies (WhatsApp, Messenger, Instagram) are retained for up to 90 days for delivery confirmation, customer support, and abuse investigation, then anonymized or deleted. Phone numbers and platform-scoped identifiers are retained for the bot session lifetime plus 30 days, unless you (as customer) export them earlier. End users may also request earlier erasure directly via our Data Deletion page.
This Section 8 sets out Bedaki's service-level commitments. The 99.9% uptime commitment and the service-credit remedy described below apply only to customers on Business and Enterprise plans. Customers on Free, Trial, Starter, or any other plan not expressly designated as Business or Enterprise receive the Service on a commercially reasonable-efforts basis, with no uptime guarantee and no entitlement to service credits.

For customers on Business and Enterprise plans, Bedaki commits to a monthly uptime percentage of 99.9% for the core Service. Uptime is calculated as the total number of minutes in a calendar month minus the number of minutes of downtime, divided by the total number of minutes in that month. This commitment excludes scheduled maintenance windows, force majeure events as defined in Section 9, suspensions for breach, account-level rate limiting, and any unavailability caused by Meta, Payzone, AWS, the public internet, or other third parties outside Bedaki's reasonable control.
Bedaki may perform scheduled maintenance to update, improve, or repair the Service. We will provide at least 48 hours' advance notice for planned maintenance that may result in service disruption, regardless of plan. Maintenance windows will be scheduled during off-peak hours whenever possible. Scheduled maintenance does not count as downtime for SLA purposes.
If Bedaki fails to meet the uptime commitment described in Section 8.1 in a given calendar month, eligible customers on Business and Enterprise plans may request a service credit equal to a percentage of the monthly fee paid for the affected Service, in accordance with the credit schedule published in their subscription agreement or order form. Service credit requests must be submitted in writing to support@bedaki.com within thirty (30) days of the downtime event and must include the affected dates and times. Service credits are the sole and exclusive remedy for any failure to meet the uptime commitment; credits are issued as a credit against future invoices and are not refundable in cash.
Free, Trial, Starter, and any other plan not expressly designated as Business or Enterprise are provided "as is" and on a commercially reasonable-efforts basis. No uptime percentage is committed for these plans, and no service credits, refunds, or other remedies accrue in the event of unavailability, performance degradation, or feature changes. Bedaki may modify, suspend, or discontinue Free or Trial plans at any time, with or without notice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEDAKI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF BEDAKI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL BEDAKI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNTS PAID BY YOU TO BEDAKI DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
Bedaki disclaims liability for service interruptions, account suspensions, rate limits, throughput throttling, template rejections, or API deprecations that originate with Meta or any other third-party channel provider. Where Meta suspends or restricts your account, integration, or templates, no service credit accrues under section 8.
Bedaki shall not be held liable for any failure or delay in performance of its obligations caused by an event of force majeure, including but not limited to natural disasters, fire, flood, war, civil unrest, strikes, government acts, telecommunications failures, electricity outages, and, in line with Payzone Article 10, cyber-attacks, hacking, denial-of-service attacks, malware, or other malicious third-party intrusions affecting Bedaki, Payzone, Meta, our hosting providers, or the public internet. Bedaki will use commercially reasonable efforts to restore service as soon as practicable.
You may terminate your account at any time by accessing your account settings or by contacting our support team. Upon termination, your right to access the Service will cease immediately. If you are on a paid subscription, no refund will be issued for any unused portion of your current billing period unless required by applicable law.
Bedaki may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. Bedaki may terminate your account immediately and without notice if you breach any provision of these Terms, engage in fraudulent or illegal activity, or if your account has been inactive for an extended period.
Upon termination of your account, Bedaki will retain your data for a period of thirty (30) days, during which you may request an export of your data. After this retention period, Bedaki will permanently delete your data from its systems, except where retention is required by applicable law or legitimate business purposes such as fraud prevention or dispute resolution.
We may immediately suspend or terminate a Meta channel integration upon notice from Meta, or upon our good-faith determination that your use violates Meta's policies (WhatsApp Business Solution Terms, Messaging Policy, Platform Terms, Instagram Platform Policy). We will notify you of the suspension and, where the breach is curable, give you a reasonable opportunity to cure. Persistent or material violations may result in permanent termination of the integration without refund of unused fees.
Bedaki reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where practicable, by sending an email notification to the address associated with your account. The "Last updated" date at the top of these Terms will be revised accordingly.
Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
These Terms and any disputes arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, including Law No. 09-08 on personal data protection, Law No. 53-05 on the electronic exchange of legal data, and the Code of Obligations and Contracts (D.O.C.). The parties submit to the exclusive jurisdiction of the Commercial Court of Casablanca.
If any provision of these Terms is held to be invalid, illegal, or unenforceable under Moroccan law, the remaining provisions shall continue in full force and effect. The failure of Bedaki to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
When you enable WhatsApp, Messenger, or Instagram on a Bedaki chatbot, you are also using services provided by Meta Platforms, Inc. and its affiliates ("Meta"). Your use of those channels is subject to Meta's own policies, which you accept and must comply with as a condition of using the integration.
Meta Platforms, Inc. and its affiliates are third-party beneficiaries of this section and may directly enforce your obligations against you if you breach Meta's policies.
We may suspend or terminate your channel integration immediately upon notice from Meta, or upon our good-faith determination that your use breaches Meta's policies. Such suspension does not constitute breach of these Terms by Bedaki, and no service credits accrue for downtime caused by such suspension.
WhatsApp, Messenger, Instagram, Facebook, and related logos and trademarks are the property of Meta Platforms, Inc. Your use of those marks must comply with Meta's Brand Resource Center guidelines.
